NiuNex provides technology services including, but not limited to:
- Artificial intelligence systems and machine learning solutions
- SaaS platform development and deployment
- Custom software and application development
- Cloud infrastructure architecture and management
- UX/UI design and data science services
- Investment services through A. Capital
- Philanthropic programs through A. Foundation
We reserve the right to modify, suspend, or discontinue any service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.
3. Your Account
Some of our services require you to create an account. When you create an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security and confidentiality of your credentials
- Notify us immediately of any unauthorized access or breach of security
- Accept responsibility for all activities that occur under your account
You may not share your account credentials with any third party. We reserve the right to terminate accounts that violate these Terms.

All content, features, and functionality of our services — including but not limited to text, graphics, logos, software, designs, and compilations — are the exclusive property of NiuNex or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of that software.
Your content: You retain ownership of any content you submit to our services. By submitting content, you grant NiuNex a worldwide, non-exclusive, royalty-free license to use, process, and display that content solely for the purpose of providing our services to you.
6. Payment Terms
For paid services, the following terms apply:
- All fees are stated in US dollars unless otherwise specified
- Payment is due upon receipt of invoice unless a separate agreement is in place
- Fees are non-refundable except as expressly set forth in a specific service agreement
- We reserve the right to suspend services for non-payment after reasonable notice
- You are responsible for any taxes applicable to your use of our services
Pricing for our services is subject to change. We will provide at least 30 days' notice before any price changes take effect.
7. Confidentiality
Each party may have access to confidential information of the other party. "Confidential Information" means any information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Each party agrees to:
- Hold the other party's Confidential Information in strict confidence
- Not disclose Confidential Information to any third party without prior written consent
- Use Confidential Information only for the purpose of performing obligations under these Terms
These obligations do not apply to information that becomes publicly available through no fault of the receiving party, is independently developed, or is required to be disclosed by law.
8. Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, NIUNEX EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- Our services will meet your specific requirements
- Our services will be uninterrupted, timely, secure, or error-free
- Results obtained from the use of our services will be accurate or reliable
- Any errors in our services will be corrected
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NIUNEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) our services
- Any conduct or content of any third party on our services
- Unauthorized access, use, or alteration of your transmissions or content
In no event shall NiuNex's total liability to you exceed the greater of (i) the amount you paid us in the twelve months preceding the claim, or (ii) USD $100.
10. Indemnification
You agree to defend, indemnify, and hold harmless NiuNex, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, and successors, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of our services
- Your violation of any third-party rights
- Any content you submit to our services
11. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will cease immediately.
You may terminate your account at any time by contacting us at contact@niunex.com. Termination does not relieve you of any obligation to pay fees accrued prior to termination.
Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with applicable law, without regard to its conflict of law principles. Any disputes arising from or relating to these Terms or our services shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.
You waive any right to a jury trial and agree that any dispute will be resolved on an individual basis, not as a class or collective action.
13. Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will provide notice via email or a prominent notice on our website at least 30 days before the changes take effect.
Your continued use of our services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using our services.
